Trademark Assignment in India

Trademark Assignment is the legal process of transferring trademark ownership from one entity to another. This transfer can be full or partial and may also include the transfer of associated business goodwill. When the trademark being assigned is registered, the assignment must be recorded with the Trademark Registry to ensure legal validity.

How Does the Trademark Assignment Process Work?

  • Assignment of an Unregistered Trademark

    Under Section 39 of the Trademarks Act, an unregistered trademark may be assigned with or without goodwill. To initiate this, the applicant must submit Form TM-16 with supporting documents.

  • Assignment of a Registered Trademark

    As per Section 38, a registered trademark may be assigned fully or partially, with or without goodwill. The assignment must be registered with the Registrar using Form TM-P as per Rule 68 of the Trade Mark Rules, 2002.

Essential Requirements for a Valid Trademark Assignment

  • Assignment must specify whether it includes goodwill or not.
  • The assignment agreement must be executed in writing.
  • The assignor and assignee must be clearly identifiable.
  • A clear description of the trademark(s) being transferred is required.
  • The effective date of assignment must be mentioned.
  • Both parties must sign the trademark assignment agreement.
  • Form TM-P along with the executed agreement must be filed with the Registrar.
  • An appropriate consideration/payment must be exchanged.
